3. Eligibility and accounts
To use the Apps you must have an active Shopify store and be able to form a binding contract. The Services are business tools and are not available to anyone under 16.
Access is authenticated through Shopify. You are responsible for the security of your Shopify account and staff permissions, for all activity that occurs under your account, and for ensuring that only authorised people can access the Apps.
4. Licence to use the apps
Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Apps for your own business purposes for as long as they are installed.
This is a licence, not a sale. No ownership in the Services transfers to you.
5. Your responsibilities
You are responsible for:
- Ensuring your use of the Apps complies with all laws that apply to your business
- The accuracy of the data you enter and the decisions you make based on App output, including printed labels, barcodes, order edits, refunds and recorded working hours
- Obtaining any consents and giving any notices required before End User data is processed through an App
- Informing your staff what the POS Time Clock In app records about them, and complying with applicable employment, working-time and payroll law — you are the controller of that data
- Verifying that generated barcodes and SKUs are correct and suitable before committing them to production or printing at volume
- Maintaining your own backups of your Shopify data
The Apps assist with operational tasks; they do not replace your own checks. We are not responsible for losses arising from incorrect labels, mistaken order edits, refund errors or payroll calculations that follow from data you supplied or settings you chose.
6. Acceptable use
You may not:
- Resell, sublicense, rent, lease or time-share access to the Apps
- Reverse engineer, decompile or attempt to derive the source code of the Services, except to the extent this restriction is prohibited by law
- Probe, scan or test the vulnerability of our systems, or circumvent any security or authentication measure
- Use the Services to store or transmit malicious code, or anything unlawful, infringing, defamatory or discriminatory
- Interfere with or place unreasonable load on the Services, or access them in bulk through automated tools without our written permission
- Use the Services to collect or track other people’s personal information without a lawful basis
- Misrepresent your identity or imply a partnership or endorsement by Retail Force that does not exist
- Use the Services for benchmarking or competitive analysis without our written permission
We may suspend access immediately if we reasonably believe this section has been breached.
7. Fees, billing and plan changes
All three Apps are currently offered free of charge. If we introduce paid plans or usage charges:
- Charges are billed by Shopify through the Shopify Billing API and appear on your Shopify invoice, not billed by us directly
- Fees are stated exclusive of taxes; you are responsible for applicable sales, use, VAT or similar taxes
- We will give notice before any charge begins to apply to a plan you already use, and you may uninstall before it takes effect
- Downgrading a plan may result in loss of access to features or data associated with the higher plan
Refunds are governed by our Refund Policy.
8. Privacy and data protection
Our handling of personal information is described in our Privacy Policy, which forms part of these Terms.
As between you and us, you own your Store Data. You grant us a limited licence to access, process, store and transmit Store Data only as needed to provide and support the Apps, to comply with law, and to protect the security of the Services.
Where we process End User personal data, we act as your processor and you act as controller. We process it only on your documented instructions, keep it confidential, apply appropriate security measures, and delete it on uninstall in line with the retention periods in the Privacy Policy.
9. Confidentiality
Each party may receive information from the other that is marked confidential or that a reasonable person would understand to be confidential. Each party will protect the other’s confidential information with at least reasonable care and use it only to perform its obligations under these Terms.
This does not apply to information that is already known to the recipient without obligation, becomes public through no fault of the recipient, is independently developed, or is lawfully obtained from a third party. Either party may disclose confidential information where required by law, giving notice where legally permitted.
10. Intellectual property
The Services, including all software, interfaces, designs, documentation, text, graphics and the Retail Force and SlashCart names and logos, are owned by SlashCart Inc. and protected by intellectual property law. All rights not expressly granted are reserved.
You may not use our names, logos or trademarks without our prior written permission, except to accurately state that you use our Apps.
We will not use your name, logo or trademarks in our marketing without your prior written consent.
11. Feedback
If you send us suggestions, feature requests or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it without restriction or obligation to you. We are not obliged to keep feedback confidential or to act on it.
12. Shopify and third-party services
The Apps run on Shopify and depend on Shopify’s platform, APIs and billing. Your relationship with Shopify is governed by Shopify’s own terms and privacy policy, which we do not control. Interruptions, changes or deprecations on Shopify’s side may affect the Apps, and we are not liable for them.
Where an App links to or integrates with other third-party services, those services are provided by their own operators under their own terms. We do not endorse them, do not control how they handle data, and are not liable for them.
13. Support and availability
We provide support by email at support@retailforce.io and aim to respond within one business day. We do not commit to a guaranteed uptime or resolution time unless we have agreed one with you in a separate written agreement.
We may suspend the Services temporarily for maintenance, upgrades, security incidents, or where required by law. We will give advance notice of planned downtime where practicable.
14. Disclaimer of warranties
The Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, to the fullest extent permitted by law.
We do not warrant that the Services will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that results obtained from the Services will be accurate or reliable. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
15. Limitation of liability
To the fullest extent permitted by law, SlashCart Inc. will not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for lost profits, lost revenue, lost savings, loss of data, business interruption, or the cost of substitute services, even if advised of the possibility.
Our total aggregate liability arising out of or relating to these Terms, whether in contract, tort (including negligence), strict liability or otherwise, will not exceed the greater of (a) the total fees you paid us for the App giving rise to the claim in the twelve months before the event, or (b) USD 100.
Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited by law.
16. Indemnity
You agree to indemnify and hold harmless SlashCart Inc., its affiliates and their respective officers, employees and agents from any third-party claim, demand, loss, liability, damage or expense (including reasonable legal fees) arising out of or in connection with: your Store Data or End User data; your use of the Services; your breach of these Terms; or your violation of any law or third-party right.
We will notify you promptly of any such claim and give you reasonable co-operation in its defence. You may not settle a claim in a way that imposes obligations on us without our written consent.
17. Term and termination
These Terms apply from the moment you install an App and continue until all Apps are uninstalled.
You may terminate at any time by uninstalling the App from your Shopify admin. We may suspend or terminate your access if you materially breach these Terms, if your use creates legal risk or disrupts the Services for others, or if required by law or by Shopify.
On termination, your licence ends immediately and we will delete your Store Data in accordance with our Privacy Policy. Sections 8 to 11 and 14 to 21 survive termination.
If an account remains inactive for twelve months or more, we may treat it as dormant and delete associated data, unless we are required to retain it.
18. Force majeure
Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, epidemics, government action, strikes, fire, flood, severe weather, power or network failure, or the acts of hackers or upstream service providers. This does not excuse any obligation to pay amounts due.
19. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in the State of Delaware. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
If you are a consumer resident in a jurisdiction whose law grants you rights that cannot be waived by contract, nothing here removes those rights.
Before starting formal proceedings, we ask that you contact us so we can try to resolve the matter directly.
20. Changes to these Terms
We may update these Terms as our products or the law change. The “Last updated” date above reflects the current version. For material changes we will give notice in the App, on the Site, or by email before they take effect. Continued use after a change takes effect means you accept the updated Terms. If you do not accept them, uninstall the Apps.
